Please carefully read these terms of use before using our website. Our website and mobile application (collectively referred to as the "Web Application") are governed by these Web Application Terms, which also include important disclosures and regulatory information associated with the services provided on the Web Application. By accessing or using the Web Application, you agree to be bound by these Web Application Terms and any other agreements or policies referenced herein. By accessing the Web Application, you represent that you have read, understood, and agreed to be bound by these Web Application Terms. You also represent that you are of legal age and not from a restricted territory, and that you have the authority to enter into these Web Application Terms personally or on behalf of any entity you represent. Please note that you are solely responsible for verifying the identity, legitimacy, and authenticity of any assets you purchase through the Web Application. SuKey provides its website (SuKey.io) and media channels, including its contents, sub-websites, sub-media channels, and distributed applications, for informational purposes only. The Web Application allows users to acquire, buy, sell, own, and transfer unique digital assets (the "Service"). SuKey reserves the right to modify or change these Web Application Terms, any policy or guideline of the Web Application, or any aspect of the Service at any time and at its sole discretion. We suggest that you frequently review the Web Application Terms and applicable policies to ensure that you understand the terms and conditions that apply to your use of the Web Application. If you do not agree to the amended terms, you must stop using the Web Application.

The Web Application

1. To use SuKey.io, you will need to have a web browser and an Ethereum wallet that is compatible with the Non-Fungible Token (NFT) standard on the Ethereum network.
2. All transactions regarding Service are managed and confirmed via the Ethereum blockchain. You understand that your Ethereum public address may be made publicly visible whenever you engage in a transaction.
3. We do not own nor control your web browser, your Ethereum wallet, the Ethereum network, or any other third-party site, product, or service that you might access, visit, or use for the purpose of enabling you to perform a transaction for our Service. We are not liable for the acts or omissions of any such third parties, nor will we be liable for any damage that you may suffer as a result of your transactions or any other interaction with any such third parties.
4. You may be able to create an account on SuKey and will need. If so, you agree to provide true, accurate and complete information about yourself including your real name, address, phone number and e-mail address, along with other information that may be required from time to time. If you become aware of any unauthorized use of your account, contact us immediately. SuKey will use your personally identifying information as set forth in the SuKey Privacy Policy. You represent and warrant that you have reviewed the Privacy Policy and agreed to its terms.
5. SuKey.io may show certain pricing data and third-party content or information otherwise that has been loaded and collected from the Ethereum blockchain or from third-party website. We are not liable for any incorrect information or typographical errors of any kind, including any incorrect information that is due to a coding error, blockchain code errors or due to a data outage or information party content that is not our creation or within our control. It is your duty and obligation to confirm any and all data on your own and base any decisions you make on your own information and data.
6. Any investment calculation, figure or information are displayed for information and reference purposes only. No information from SuKey shall be interpreted, construed or otherwise deemed to be a recommendation, persuasion, representation or warranty for any products, investment, items, idea or concept otherwise presented in SuKey. You take sole responsibility in using SuKey or participating in any activities or derivative thereof of SuKey.
7. Use of SuKey in violation of applicable laws is expressly prohibited. You are solely responsible for verifying that your use of SuKey and consummation of transactions contemplated by SuKey are permitted in your jurisdiction and comply with all applicable laws, regulations, orders and court decisions.
8. If you have any questions regarding legality in your jurisdiction, please consult your legal counsel. When you access, register for or use SuKey, you do so at your own risk, and you are solely responsible for complying with all applicable rules and regulations in connection with activities relating to SuKey.

SuKey; Investment Offerings

You have the option to choose to invest in potential offerings as presented herein (Investment), in SuKey Real Estate Investment Scheme ( referred to as Interests), which are represented by cryptographic digital tokens such as SuKey Token or NFT, as applicable.

You acknowledge and agree that SuKey does not manage or take responsibility for any transactions carried out using your Ethereum wallet or other accounts. Payment transmissions related to the Investment are processed through a designated customer account, ensuring that your funds are separated from SuKey's funds. The segregation of funds will be detailed further in the specific agreement between you and SuKey for each offering of Interests.

You consent to transacting the Interests using Ethereum blockchain-based smart contract digital tokens that meet the ERC-20 standard, and you agree that such Interests will be governed by the terms and conditions specified in the relevant investment documents related to the specific Interests.

By purchasing the Interests, you agree, understand, and take full responsibility for your purchase of the Interests, and acknowledge that:

1. The Interests, their merits, and materials have not been registered with, approved, passed upon, or endorsed by any state regulator(s), and you may decide on your own to assume all risks and responsibilities in complying with their terms, rules, and risks.
2. The Interests being offered are highly speculative, involve a high degree of risk, and should only be purchased by persons who can afford to lose their entire investment. There can be no assurance that SuKey's business objectives will be achieved or that a secondary market will ever develop for the Interests, whether through the Web Application, third-party registered broker-dealers, or otherwise. Investing in private placements requires a high risk tolerance, low liquidity concerns, and long-term commitments. The Interests being sold are not insured, may lose value, and there is no bank or other guarantee.
3. You are not a citizen or resident of, or person subject to the jurisdiction of, or located in Cuba, Democratic People's Republic of North Korea, Islamic Republic of Iran, Syria, the Crimea or Sevastopol, the People's Republic of China (excluding Hong Kong, Macao, and Taiwan), the United States of America (including its territories: American Samoa, Guam, Puerto Rico, the Northern Mariana Islands, and the U.S. Virgin Islands), Republic of Singapore, or any country for which the Interests shall be considered security (whatsoever called) (Restricted Territory), and you shall not access the Web Application or transact the Interest while you are in any of the Restricted Territory.
4. You are not subject to any sanctions administered or enforced by any country, government, or international authority, and are not acting in the interests of such persons.
5. Upon your decision to participate, we may, at our sole discretion, allow for such participation, subject to our satisfaction that you meet the legal requirements for participation, consent of relevant third parties, and execution of definitive documentation.
6. We make no representation or warranty that any potential transaction you have identified will take place, or that if it takes place, you will be allowed to participate. SuKey's management decisions are final in all matters relating to the Web Application, Service, Interests, and other activities related to the Web Application.

If you are offered the opportunity to participate in a transaction, you may be required to sign additional documentation and complete additional steps, including but not limited to:

1. Completing SuKey's user registration process.
2. Entering into specific agreements for the Interests with the specific Interest.
3. Creating a digital asset wallet with a third party.
4. Finalizing the purchase using a specified cryptocurrency/currency.
5. Any other steps as necessary and as required by SuKey from time to time to complete such

SuKey, License, and Restrictions

The definition of "Own" for the Web Application Terms is limited to an Interest that has been legitimately acquired by you through purchase or other means, and for which there is recorded proof of ownership on the relevant Ethereum blockchain.

When you purchase a SuKey Token or SuKey NFT, you only own the NFT or SuKey Token, and not any associated property or equity, nor any other materials belonging to SuKey (defined below), or any third-party intellectual property. You may trade, sell, or give away the SuKey Token, subject to these Terms and Conditions and any associated terms of the SuKey purchase.

We own the Web Application, along with any associated properties or capital belonging to SuKey, in accordance with applicable laws. You acknowledge and agree that SuKey (or our licensors) owns all legal rights, titles, and interests in and to all other elements of the Web Application, including all intellectual property (such as designs, names, copyrights, trademarks, patents, systems, methods, information, computer code, software, services, "look and feel," organization, compilation of content, code, data, and all other elements of the Web Application) (collectively, "SuKey Materials").

You are granted a limited, non-sublicensable license to access and use the SuKey Materials and electronically copy (except where prohibited without a license) and print hard copies of portions of the SuKey Materials for informational, non-commercial, and personal use only. This license is subject to these Web Application Terms and does not include:

1. Any resale or commercial use of the Web Application or the SuKey Materials therein;
2. The distribution, public performance, or public display of any SuKey Materials;
3. Linking (including, but not limited to, any link, hyperlink, inline link, or deep link), mirroring, copying any parts or frame of this Web Application or any part thereof to any other web page, website, server, or otherwise without our prior consent. You must not use any of the SuKey Materials, particularly the trademarks, as part of a link to or from any Web Application;
4. Modifying or making any derivative uses of the Web Application and/or the SuKey Materials, or any portion thereof;
5. Any other steps as necessary and as required by SuKey from time to time to complete such
6. Use of any data mining, robots, or similar data gathering or extraction methods;
7. Downloading (other than page caching) any portion of the Web Application, the SuKey Materials, or any information contained therein for commercial usage; or
8. Any use of the Web Application or the SuKey Materials other than for their intended purpose.

We may, at any time and at our sole discretion, instruct you to disable, remove, and terminate any Link from any web page or website or any mirroring or framing of this Web Application or any part thereof. You must comply immediately upon receiving such instructions. We may, but are not obliged to, disclose our reasons for issuing such instructions.

Other than as expressly stated in these Web Application Terms, you do not have any other rights in the SuKey Materials. You acknowledge that the SuKey Materials are protected by copyright, trade dress, patent, trademark laws, international conventions, other relevant intellectual property and proprietary rights, and applicable laws. All SuKey Materials are the copyrighted property of SuKey or its licensors, and all trademarks, service marks, and trade names associated with the Web Application or otherwise contained in the SuKey Materials are proprietary to SuKey or its licensors. You may not use the SuKey name without our prior written consent. We may limit access, terminate your account, or avail to any remedies pursuant to applicable laws for any violations of these Web Application Terms as provided herein. Except as expressly set forth herein, your use of the Web Application does not grant you ownership of, or any other rights with respect to, any SuKey, content, code, data, or other SuKey Materials that you may

Limitation of Liability

1. SuKey provides this Web Application on an "as is" and "as available" basis. To the fullest extent permitted by applicable laws, SuKey excludes all representations, warranties, or guarantees, whether express or implied, regarding the Web Application or the reliance of third parties or you on the Web Application's content, unless such reliance is the result of our negligence.
2. SuKey shall make reasonable efforts to ensure that the Web Application is free from viruses and other malicious or harmful content. However, SuKey does not guarantee that your use of this Web Application shall not cause damage to your computer or other device. To the fullest extent permitted by law, we shall not be liable to you for any loss or damage you suffer as a result of viruses or other malicious or harmful content that you access from or via the Web Application.
3. We do not guarantee that the Web Application, or any content on it, will always be available or uninterrupted. We may suspend, withdraw, or restrict the availability of all or any part of the Web Application for any reason.
4. To the fullest extent permitted by law, SuKey excludes all liabilities to its directors, members, employees, or agents for any direct, special, indirect, or consequential damages, or any other damages of any kind, including but not limited to loss of use, loss of profits, or loss of data, whether in an action in contract, tort (including but not limited to negligence), or otherwise, arising out of or in any way connected with the use of or inability to use the Web Application, the service, or the SuKey materials. SuKey limits its aggregate liability as stated above to the amount paid by the specific user bringing the claim for access or use of the Web Application.
5. There are risks associated with using an internet-based blockchain protocol or linked services or third-party content, and you shall exclude SuKey from all liability for risks relating to hardware, software, and internet connections, the risk of malicious software introduction, and the risk that third parties may obtain unauthorized access to information stored within your account or the digital assets stored in your wallet.
6. We hereby disclaim any and all liability and responsibility for the content available on any third-party website that links, mirrors, or frames this Web Application or any part thereof. Under no circumstances do we acknowledge or affirm, expressly or implicitly, any association or affiliation in any manner whatsoever with any trademarks, trade names, service marks, logos, insignia, or other devices used or appearing on third-party websites that link, mirror, or frame this Web Application or any part thereof.

Indemnification

By using and accessing the Web Application, you agree to defend, indemnify, and hold SuKey harmless , our affiliates, and our and their respective directors, officers, employees, and agents from any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including attorney's fees on a full indemnity basis) that arise from or relate to: (a) your use of and access to the Web Application; (b) your violation of any provision of these Web Application Terms; or (c) your violation of any third party right, including but not limited to any copyright, property, or privacy right. This obligation to defend and indemnify will remain in effect even after the termination of these Web Application Terms and your use of the Web Application.

Jurisdiction and Governing Law

Your use of the Web Application and these Web Application Terms will be governed and interpreted in accordance with the laws of Saint Vincent and the Grenadines. By using the Web Application, you consent to the exclusive jurisdiction of the Saint Vincent and the Grenadines courts. Any notice provided in electronic form, along with a printed copy of these Web Application Terms, will be admissible in any judicial or administrative proceedings relating to these Web Application Terms to the same extent and under the same conditions as other business records originally generated and kept in printed form. You and SuKey agree that any cause of action arising from or related to the Web Application must be initiated within 6 months of when the cause of action arose. If not, such cause of action will be permanently barred.

General

1. The Web Application Terms may be translated and presented in different languages, all of which will be equally valid. In case of any discrepancies, the English version will take precedence.
2. The most current Web Application Terms, policies, and guidelines of the Web Application will become effective as soon as they are published and will replace all prior versions.
